Welcome to SGA Sync (the "Platform"), a multi-tenant operating system designed to digitize and streamline collegiate governance and parliamentary proceedings, operated by SGA Sync ("we," "us," or "our").

Please read these Terms of Use ("Terms") carefully. By accessing or using the Platform, whether as an appointed student representative, senate officer, university administrator, or general student body member (collectively, "Users"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. Scope and Multi-Tenant Architecture

1.1 Institutional Agreement

SGA Sync is licensed directly to contracting colleges, universities, and their authorized Student Government Associations (each, an "Institution") under separate master services or institutional SaaS agreements. These Terms govern individual end-user access to the Platform tenant provisioned for your specific campus (e.g., https://[your-campus].sgsync.app).

1.2 No Individual Subscription or Payment Processing

Currently, SGA Sync does not charge individual students, senators, or administrators to access or use the Platform. All licensing and hosting fees are handled directly between SGA Sync and your contracting Institution. No individual payment processing, billing, or subscription tiering is supported or required for end-users under these Terms.

2. Account Registration and Security

2.1 Institutional Authentication

To access your Institution's specific tenant, you must register and authenticate using your official university-issued email address (typically ending in .edu), either by creating an account or through a single-use sign-in link sent to that address by your Institution's administrator.

2.2 Account Responsibility

You are solely responsible for maintaining the confidentiality of your authentication credentials. You agree to:

  • Immediately notify your tenant administrator or SGA Sync support (support@sgasync.com) of any unauthorized use of your account.
  • Maintain a single, accurate profile representing your real identity and official student senate/governance role.
  • Avoid sharing your credentials or permitting any other individual to access your account.

3. Account State Machine and Governance Rules

3.1 Role-Based Access Control

The Platform enforces strict role-based permissions determined by your official governance status (e.g., Speaker, Senator, Chair, Secretary, Executive, or Guest).

3.2 Account Deactivation and Historical Integrity

To maintain the democratic and legal integrity of parliamentary records:

  • Active Status: Only actively verified and authenticated student representatives may exercise floor privileges, sponsor legislation, submit amendments, and cast official legislative votes.
  • Deactivation: If you resign, graduate, or are removed from your official role, your account will be transitioned to an inactive state by your tenant administrator. Deactivated accounts lose all voting and modification rights immediately.
  • Archival and Record Integrity: To ensure complete transparency and legal compliance of official legislative journals, your past legislative actions (including roll-call votes, bill sponsorships, motions, and official statements) will remain permanently archived in the system’s audit logs and public ledger, even after your account is deactivated.

4. Terms of Misuse and Prohibited Conduct

The Platform is an official channel for collegiate governance, democratic deliberation, and university administration. We enforce a zero-tolerance policy for activities that disrupt legislative integrity, compromise security, or violate institutional policies.

You explicitly agree not to engage in any of the following prohibited behaviors:

4.1 Legislative and Voting Fraud

  • Credential Sharing & Proxy Voting: You must not share, lend, or transfer your account or verification details to another user. You are strictly prohibited from casting a vote, sponsoring a bill, or issuing a motion on behalf of another senator or representative, even with their permission.
  • Clicker Spoofing: You must not manipulate, reverse-engineer, or programmatically bypass the "Phone-as-a-Clicker" electronic voting feature. All votes cast through your physical device must represent your own active, real-time legislative decisions while physically or digitally present in the authorized session.
  • Double Voting: You must not attempt to exploit session states or network delays to cast multiple votes on a single legislative motion or roll call.

4.2 System Disruption and Parliamentary Manipulation

  • Queue Flooding: You must not programmatically flood or automate submissions to the legislative docket, or amendment ledgers to intentionally filibuster, delay, or paralyze official parliamentary proceedings.
  • Scraping and Botting: You must not deploy automated web scrapers, crawlers, indexers, or bots to harvest legislative data, user directories, or contact info from the Platform.
  • Vulnerability Exploitation: You must not attempt to bypass multi-tenant security barriers, execute SQL injection, cross-site scripting (XSS), or perform denial-of-service (DDoS) attacks against the Platform or any specific campus tenant.

4.3 AI Deliberation Abuse ("Sync AI")

SGA Sync features "Sync AI" to assist in analyzing resolutions and navigating parliamentary procedures (e.g., Robert's Rules of Order). You must not:

  • Submit malicious prompt injection strings designed to cause the AI engine to generate biased, inaccurate, or procedurally fraudulent guidance.
  • Use automated scripts to query "Sync AI" to exhaust or abuse API token allocations.
  • Submit highly sensitive, personally identifiable, or legally protected university student records (outside of general public legislative rosters) to the AI analyzer.

4.4 Tenant Isolation Violations

SGA Sync enforces strict multi-tenant boundaries. You must not attempt to bypass authentication to access, read, write, or modify the data, dockets, or user databases of any other higher education Institution hosted on the Platform.

4.5 Violations of Student Code of Conduct

You may not use the Platform to post, draft, or transmit any content that is defamatory, obscene, harassing, threatening, or discriminatory. All content drafted, hosted, or deliberated on the Platform must comply with your Institution’s official Student Code of Conduct and Student Handbook policies.

4.6 Consequence of Misuse

SGA Sync reserves the right to immediately suspend or terminate your access to the Platform, without notice, if we or your Institution's administrators determine you have violated this Section 4. Additionally, because the Platform serves as an official arm of your Institution's governance, any evidence of legislative fraud, voter manipulation, hacking, or severe harassment on the Platform may be referred directly to your Institution’s Office of Student Conduct or judicial board for disciplinary action.

5. Intellectual Property and Content Rights

5.1 Ownership of Legislative and Public Records

All resolutions, bills, amendments, agendas, budget ledgers, and official minutes uploaded or generated on the Platform ("Governance Content") remain the sole intellectual property of the generating User or the contracting Institution. By uploading Governance Content, you grant SGA Sync a non-exclusive, worldwide, royalty-free, fully paid-up license to store, host, display, and process such content solely for the purpose of providing and maintaining the Platform's services to your Institution.

5.2 SGA Sync IP

All rights, titles, and interests in the Platform’s design, code, structural databases, "Phone-as-a-Clicker" software architecture, live voting algorithms, visual layouts, and "Sync AI" integrations are owned exclusively by SGA Sync. You are prohibited from copying, modifying, distributing, or reverse-engineering any portion of the Platform.

6. Disclaimer of Warranties and "Sync AI" Limitation of Liability

6.1 General SaaS Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES.

6.2 "Sync AI" Liability Limitation

THE PLATFORM INTEGRATES GENERATIVE ARTIFICIAL INTELLIGENCE ("SYNC AI") TO ASSIST WITH LEGISLATIVE DRAFTING, PROCEDURAL SUMMARIES, AND NAVIGATION OF PARLIAMENTARY RULES (SUCH AS ROBERT'S RULES OF ORDER). "SYNC AI" OUTPUTS ARE CONSTRUCTED SOLELY FOR STRUCTURAL, FORMATTING, AND INFORMATIONAL PURPOSES.

YOU ACKNOWLEDGE AND AGREE THAT:

AI-GENERATED PROCEDURAL INTERPRETATIONS AND SUMMARIES ARE NOT BINDING LEGAL OR PROCEDURAL OPINIONS. SGA SYNC IS NOT LIABLE FOR LEGISLATIVE PROCEDURAL MISSTEPS, PROCEDURAL CHALLENGES, CONSTITUTIONAL DISPUTES, OR LEGISLATIVE NULLIFICATIONS ARISING FROM YOUR RECOVERY, USAGE, OR RELIANCE UPON AI-GENERATED PROCEDURAL GUIDANCE. INDIVIDUAL OFFICERS RETAIN ULTIMATE PROCEDURAL AUTHORITY AND RESPONSIBILITY TO REVIEW AND VALIDATE THE ACCURACY OF ALL PROCEDURAL ADVICE ACCORDING TO THEIR INDIVIDUAL BYLAWS AND CHARTERS.

7. Governing Law and Dispute Resolution

These Terms and your relationship with SGA Sync shall be governed by, and construed in accordance with, the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles.

Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in Boston, Massachusetts, and you hereby consent to the personal jurisdiction of such courts.

8. Amendments to These Terms

We may revise and update these Terms from time to time. When changes are made, we will update the "Effective Date" at the top of this document and notify users through an in-app notice on your Institution's dashboard. Your continued use of the Platform after such notice constitutes acceptance of the updated Terms.
